CLAWHOST — MANAGED AI AGENT SERVICE AGREEMENT

This agreement is between ClawHost ("we", "us") and the person signing up ("you", "client").

1. WHAT WE PROVIDE
   We will set up, host, and maintain one OpenClaw AI agent instance on your behalf.
   This includes:
   - Initial setup and configuration of your agent
   - Secure server hosting on a private instance
   - Monthly maintenance, updates, and security patches
   - Support as described in your chosen plan (Starter / Business / Pro)

2. WHAT YOU ARE RESPONSIBLE FOR
   - Providing accurate information during onboarding
   - Keeping your own API keys and login credentials safe
   - Using your agent only for lawful purposes
   - Notifying us if anything looks wrong or behaves unexpectedly

3. PAYMENT
   - Billing is monthly, charged on the same day each month
   - Plans: Starter ($199/mo), Business ($399/mo), Pro ($799/mo)
   - No refunds for partial months, except the first month (full money-back guarantee)
   - You may cancel at any time before your next billing date

4. CANCELLATION
   - You can cancel anytime with no penalty
   - Just email us before your next billing date
   - After cancellation, your agent will be shut down at end of the current billing period
   - We will provide an export of your configuration files upon request

5. UPTIME
   - Starter: We aim for 99% uptime
   - Business: We aim for 99.9% uptime
   - Pro: We aim for 99.99% uptime
   - Planned maintenance will be communicated 24 hours in advance

6. YOUR DATA & PRIVACY
   - Your data is stored only on your private server instance
   - We will never sell, share, or access your data without your permission
   - We store only what is needed to run your agent
   - You own your data. We own our infrastructure.

7. ACCEPTABLE USE
   You agree NOT to use the agent to:
   - Spam, harass, or contact people without their consent
   - Violate any laws or third-party terms of service
   - Attempt to breach any other system's security
   
   If we detect misuse, we reserve the right to suspend your account immediately.

8. LIABILITY
   - We are not responsible for actions taken by your AI agent
   - We are not liable for losses caused by downtime beyond our SLA targets
   - Our maximum liability to you in any month is equal to that month's subscription fee

9. CHANGES TO THIS AGREEMENT
   - We may update this agreement with 30 days' notice
   - Continued use of the service after that period means you accept the changes
